The short version: BBWholesale gives high-risk research use only (RUO) businesses card-to-stablecoin payment processing, a membership with wholesale products and fulfillment, and custom website builds. Processing costs a $100 monthly network fee plus 4% per transaction. Payouts go straight to a wallet you control, and we never hold your funds. You are responsible for your products, your store and your customers. These terms are the full agreement.
1. Who we are
These Terms of Service ("Terms") are an agreement between you and BBWholesale ("BBWholesale", "we", "us"). They cover your use of:
- the website at bbwholesale.us and its pages, forms and live chat;
- our card-to-stablecoin payment processing, including the hosted payment pages at bbwholesale.tech, the BBWholesale and partner WooCommerce plugins, and our APIs (together, the "Processing Service");
- the BBWholesale membership, including wholesale product pricing, third-party logistics (3PL) and dropshipping;
- custom website builds;
- the affiliate program and affiliate portal; and
- the RUO Compliance Brief and our other emails.
Together these are the "Services". "You" means the person or business using the Services. If you accept these Terms for a business, you confirm you have authority to bind it.
2. Accepting these terms
By using the website, submitting a sign-up, consult or order form, paying a fee, installing our plugin or calling our API, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the Services.
3. Eligibility and approval
- You must be at least 18 years old and able to enter a binding contract.
- The Processing Service and membership are for businesses. They are not for personal, family or household use.
- We review every sign-up. We aim to decide on the same day, but approval is at our discretion and we may ask for more information about you, your business, your products or your website. We may decline an application without giving a reason.
- The information you give us must be accurate and kept up to date. Tell us promptly if your business, website, products or contact details change.
4. Payment processing
How it works
Your customers pay by card, Apple Pay, Google Pay or another method offered on the payment page. The payment is handled by a third-party card or on-ramp provider. The sale is converted to a stablecoin (usually USDC) and settled on a public blockchain (usually Polygon) directly to the wallet address you give us. BBWholesale works with payment partners, including PayGate.to, to route and settle payments.
What we are and aren't
- BBWholesale provides the software, integration and support that connect your store to these providers. We are not a bank, and we do not hold, pool or have custody of your funds at any point.
- The customer's card payment is processed by the third-party provider shown on the payment page, under that provider's own terms. Providers may verify a customer's identity, decline a payment, or set minimum and maximum amounts. We don't control those decisions.
- Which providers and payment methods are available can depend on the customer's country, the amount and each provider's own rules, and can change without notice.
Settlement times
Most payments settle to your wallet within minutes. Settlement can take longer, and occasionally fail, because of blockchain congestion, provider reviews, outages or other events outside our control. The settlement times we describe are typical, not guaranteed.
Order confirmation
Our plugin and API mark an order paid only when a payment confirmation is received and checked. A confirmation may be held for review, for example when it has no payout transaction or the amount doesn't match. Before shipping, it's your responsibility to check held orders against the funds received in your wallet.
5. Fees and billing
- Network fee: $100 per month, billed in advance through PayPal as a recurring subscription. Your account is activated once the first payment is received. The network fee includes membership benefits. There is no separate membership charge.
- Transaction fee: 4% of each processed payment. It is deducted when the payment settles, so you receive 96% of each sale amount in your wallet. Your customers aren't charged a separate BBWholesale fee.
- Website builds: a one-time $2,000 fee, paid in advance through PayPal. See Website builds.
- Third-party costs: blockchain network (gas) fees, wallet fees, exchange or off-ramp fees, and your own hosting and domain costs are not included and are your responsibility.
- Cancelling the network fee: you can cancel at any time in your PayPal account or by emailing us. The cancellation takes effect at the end of the current billing month. Network fees already paid are not refunded, including for partly used months. If a network fee payment fails, we may pause your access to the Services until it is paid.
- Price changes: we may change our fees with at least 30 days' notice by email. The new fees apply from your next billing month or, for transaction fees, to payments made after the change takes effect.
- Taxes: fees are exclusive of any taxes that apply, which you are responsible for.
6. Your wallet and payouts
- You must give us an address for a self-custodial wallet that you control and that can receive the payout asset on the payout network. We recommend not using an exchange deposit address.
- You are solely responsible for the accuracy of your wallet address and for keeping your wallet, private keys and recovery phrase secure. Blockchain transactions are irreversible. We can't recover funds sent to an address you gave us that is wrong, mistyped, unsupported or no longer in your control.
- Stablecoins are designed to track the US dollar but are issued by third parties and carry risks, including a loss of the peg, issuer failure, freezing of tokens by the issuer, and changes to blockchain networks. You accept these risks for the funds you receive.
- Depending on the provider, a payout may arrive as a different asset or on a supported network other than Polygon (for example Ethereum or BNB Chain) at the same address.
- You are responsible for your own accounting, record keeping and tax reporting for funds you receive.
7. Your customers, refunds and disputes
- You are the seller to your customers. You are responsible for your listings, prices, product descriptions, delivery, customer service and your own store policies.
- Because payouts go straight to your wallet, we can't reverse or refund a settled payment. Refunds to your customers are between you and your customer, and you make them yourself.
- If a customer disputes a payment with their card issuer or a payment provider, you agree to cooperate in good faith, give us any information we reasonably ask for about the order, and respond to any related request from the provider.
- You must clearly tell your customers how they will be charged, including that they will finish paying on a third-party payment page.
8. WordPress plugin and API
- Our WooCommerce plugins are licensed under the GNU General Public License (GPL) version 3 or later. Your rights to the plugin code come from that licence. These Terms govern your use of the hosted services the plugin connects to.
- We give you access to our APIs and integration documentation to connect your own store. Keep any credentials private, and don't share them with others or use them for anyone else's store.
- Don't overload, probe, reverse engineer or interfere with our systems or the payment pages, or try to change, avoid or bypass our fees.
- You're responsible for installing, configuring and updating the plugin, for keeping WordPress and WooCommerce up to date, and for testing your checkout before you take live payments.
- We may change, add or remove features, endpoints and providers. We'll try to give reasonable notice of changes that need action from you.
9. Membership, products and fulfillment
- Research use only. All products we supply are sold strictly for laboratory research use only. They are not for human or animal consumption, and are not intended to diagnose, treat, cure or prevent any disease. You must not market, label or sell them as dietary supplements, drugs, food or cosmetics, or for personal use, and you must keep these restrictions in place when you resell.
- Member pricing, the catalogue and product availability can change without notice. Orders are subject to acceptance and stock. Product descriptions and any documents such as certificates of analysis are provided for information.
- 3PL and dropshipping: when we fulfill orders for you, you're responsible for giving us accurate customer and shipping details, and for making sure the products can lawfully be shipped to the destination. Title and risk pass to the recipient on delivery to the carrier, unless we agree otherwise in writing. Tell us about damaged, missing or incorrect items within 7 days of delivery.
- We may refuse or cancel an order that we believe breaks these Terms or the law. If we cancel an order you've already paid for, we refund what you paid for it.
10. Website builds
- For the one-time $2,000 fee, we build and set up a website for your business with merchant processing, inventory listings, a back-end admin panel and an affiliate program, as described on our Websites page.
- You provide the hosting and the domain, plus the access, content, product information and decisions we need. We aim to have your site live within 3 working days of receiving payment and everything we need from you. Delays caused by missing information, access or approvals extend that time.
- Ongoing processing on your website is billed at our standard network and transaction fees.
- Refunds: if you cancel before we have started work on your build, we refund the $2,000 in full. Once work has started, the fee is non-refundable. If we can't deliver the build as described, we'll either complete it or refund the fee.
- Once the fee is paid, you own your site's content and design. Third-party themes, plugins, fonts and other components remain under their own licences.
- After launch, you're responsible for your hosting, domain, backups, updates and the content on your site, unless we agree in writing to provide ongoing support.
11. Affiliate program
- Approved affiliates get referral links through the affiliate portal. A sign-up is credited to the affiliate whose link the visitor last used within the previous 30 days.
- Commission rates and payment terms are as we agree with you. Commissions are paid only on genuine sign-ups that pay their fees. We may withhold or reverse a commission on a sign-up that is fraudulent, self-referred, refunded or obtained in breach of these Terms.
- You must promote BBWholesale honestly and lawfully. In particular, you must not send spam, make claims we don't make, bid on our brand name in paid search, or present yourself as BBWholesale.
- We may change the program or close an affiliate account at any time. Earned, valid commissions up to that date will still be paid.
12. Emails and the Compliance Brief
The RUO Compliance Brief and our other updates are general information about developments in the research use only market. They are not legal, regulatory or professional advice, and you should take your own advice for your business. You can unsubscribe from marketing emails at any time with the link in each email. We'll still send emails about your account, payments and orders.
13. Prohibited use
You must not use the Services to:
- sell or promote anything illegal where you or your customer are located, including controlled substances, or products marketed for human consumption in breach of research use only restrictions;
- sell weapons, stolen goods, counterfeit or infringing products, or adult content involving minors;
- launder money, finance terrorism, evade sanctions or taxes, or process payments for anyone in a sanctioned country or on a sanctions list;
- process payments for another business or for sales that aren't genuine sales of your own goods or services, or split, structure or disguise transactions;
- commit fraud, mislead customers or use stolen payment details; or
- break any law, or the terms of the payment providers that process your payments.
Payment providers have their own lists of restricted businesses and may refuse to process certain products. If a provider refuses your business, we may not be able to keep providing the Processing Service to you.
14. Your legal responsibilities
You are responsible for making sure your business, products, marketing, website and sales comply with every law that applies to you, including product, labelling, consumer protection, privacy, tax, export and import, and anti-money-laundering rules. You must have a privacy policy for your store that tells your customers their payment and contact details are shared with payment providers to take their payment.
15. Suspension and termination
- You can stop using the Services at any time by cancelling your network fee subscription and removing our plugin or integration.
- We may suspend or end your access to any of the Services, immediately if necessary, if:
- you break these Terms;
- a fee is unpaid;
- a payment provider or partner asks us to;
- we reasonably suspect fraud, illegal activity or risk to us, our partners or customers; or
- we're required to by law.
- Ending your access doesn't affect payments that have already settled to your wallet, or fees owed up to that date.
- The sections on fees owed, wallets, customers, prohibited use, disclaimers, liability, indemnity and disputes continue after termination.
16. Disclaimers
The Services are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Services will be uninterrupted, error-free or secure. We don't guarantee that any payment, provider, payment method, approval time or settlement time will be available. We aren't responsible for the acts, omissions, outages or decisions of third parties, including payment providers, card networks, blockchain networks, stablecoin issuers, wallet providers, carriers, and hosting or domain providers.
17. Limitation of liability
To the fullest extent the law allows:
- BBWholesale won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business, even if we were told they were possible.
- Our total liability for all claims relating to the Services is limited to the fees you paid us in the 3 months before the event giving rise to the claim. For a website build, the limit is the build fee instead.
Nothing in these Terms limits liability that can't be limited by law.
18. Indemnity
You agree to defend and indemnify BBWholesale and its owners, staff and partners against claims, losses, fines and costs (including reasonable legal fees) arising from:
- your products, store or sales;
- your dealings with your customers;
- your breach of these Terms or of the law; or
- any information you give us.
19. Governing law and disputes
These Terms are governed by the laws of the State of Nevada, USA, without regard to its conflict of law rules. Before starting any formal claim, please contact us so we can try to resolve the issue informally within 30 days. Any dispute that can't be resolved this way will be brought only in the state or federal courts located in Nevada, and both parties consent to their jurisdiction. Claims must be brought individually and not as part of a class or representative action.
20. Changes to these terms
We may update these Terms from time to time. We'll post the new version on this page with a new effective date. If a change materially affects you, we'll also email you at least 30 days before it takes effect. If you continue using the Services after a change takes effect, you accept the updated Terms.
If any part of these Terms is found unenforceable, the rest stays in effect. If we don't enforce a provision, we haven't waived it. You can't transfer your account or these Terms without our written consent. These Terms and the Privacy Policy are the entire agreement between you and us about the Services, unless we have signed a separate written agreement with you.
